These Terms of Service (“Terms”) govern your access to and use of the website (the “Site”) and services (the “Services”) provided by AWSAVVY LLC (“AWSAVVY,” “we,” “us,” or “our”). By accessing the Site or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
1. Who we are
AWSAVVY LLC is a limited liability company registered in the State of Wyoming, United States, with a registered address at 1309 Coffeen Avenue, STE 1200, Sheridan, Wyoming 82801. You can reach us through our contact page.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site or Services. If you use the Site or Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3. The Services
AWSAVVY provides AWS cost optimization consulting, including cost audits, continuous optimization, Reserved Instance and Savings Plan strategy, and architecture review. The specific scope, deliverables, fees, and terms of any paid engagement will be set out in a separate written agreement, statement of work, or proposal (“Engagement Agreement”). In the event of a conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls for that engagement.

4. Access to your AWS environment
Where an engagement involves reviewing your AWS account, you are responsible for granting and configuring access (typically a read-only, cross-account IAM role limited to billing and usage data). You represent that you are authorized to grant such access. AWSAVVY’s access is read-only and does not include the ability to modify, start, stop, or delete resources in your environment. You remain solely responsible for your AWS account, your data, and any changes implemented in your environment, including changes made based on our recommendations.
5. Quotes and fees
We do not publish fixed pricing. Fees are quoted per engagement and described in the applicable Engagement Agreement. Many engagements are performance-based, calculated as a share of verified savings; others may be fixed-fee. Payment terms, invoicing, and the method of measuring savings will be specified in the Engagement Agreement.
6. Your responsibilities
You agree to: (a) provide accurate information; (b) cooperate reasonably so we can perform the Services; (c) review and approve recommendations before any changes are implemented in your environment; and (d) use the Site and Services only for lawful purposes and in compliance with these Terms and applicable law.
7. Acceptable use
You agree not to: (a) interfere with or disrupt the Site or its security; (b) attempt to gain unauthorized access to any systems; (c) use the Site to transmit malware or unlawful content; (d) scrape, copy, or reverse engineer the Site except as permitted by law; or (e) use the Site or Services to infringe the rights of others.
8. Intellectual property
The Site and its content — including text, graphics, logos, and the AWSAVVY name and marks — are owned by or licensed to AWSAVVY and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Site for its intended purpose. Deliverables we provide under an Engagement Agreement are governed by that agreement.
AWSAVVY is not affiliated with, endorsed by, or sponsored by Amazon Web Services, Inc. “AWS” and “Amazon Web Services” are trademarks of Amazon.com, Inc. or its affiliates, used here only to describe our Services.
9. Third-party services
The Services relate to your use of Amazon Web Services and may reference or interact with other third-party tools. Your use of AWS and any third-party services is governed by their own terms, and we are not responsible for those third parties or for charges you incur with them.
10. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PARTICULAR LEVEL OF SAVINGS WILL BE ACHIEVED. See our Disclaimer for more.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWSAVVY AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID US NOTHING. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless AWSAVVY and its members, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the Site or Services, or your violation of any law or third-party right.
13. Termination
We may suspend or terminate your access to the Site at any time if you violate these Terms. Termination of any paid engagement is governed by the applicable Engagement Agreement. Provisions that by their nature should survive termination (including sections on intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, unless an applicable Engagement Agreement specifies otherwise.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
